1. STATEMENT OF WORK *

This contract confirms your request for me to provide technical and creative work for you wedding and/or related events, such as engagement photos and other events that may be specified in this contract. Depending on the terms of this contract, I may provide additional related services such as photographers to fully photograph your weddings and/or sessions/events. I will also provide additional related services such as digital editing.

2. EXCLUSIVITY AND AUTHORITY *

I will be the sole photographer employed for the wedding day, session, and/or event(s), and I will have priority over any other photographer or videographer employed in connection with the wedding, session, and event(s) in the positioning of cameras and equipment.

3. WHAT IS INCLUDED UNDER THIS CONTRACT *

4. CREATIVE WORKS, OWNERSHIP, & RIGHTS OF USE *

I grant you the exclusive rights to use the images for your personal non-commercial purposes and/or publication. These rights shall be worldwide and for the full life of the copyright and any renewals thereof unless specific to the contrary here. This grant of rights includes electronic rights and digital photographs. Any photos taken by me or my assistant(s) working with me may not be sold to any third party. You agree not to authorize any reproductions. Any and all proofs, digital files, final or sample digital proofs or prints, and all rights to them remain my exclusive property. You grant permission to me to use the photos and likeness in all forms and media for advertising, portfolios, demo, trade, stock, editorial, altering without restrictions, and all other lawful purposes. You are not entitled to any compensation, and you release me of all forms of claims and liability to work product arising out of this contract.

5. RESULTS & LIABILITY *

Photography services (digital photographic exposures, digital photographic editing, digital proofs and prints) provided under this contract are creative and technical arts. Prior to entering into this contract, you have had the opportunity to review my photography work and portfolio, evaluate my artistic style, creative eye and perspective, technical adaptations, and related representations of my work. Every event is different, providing unique opportunities and technical challenges. I will exercise my best creative efforts to produce similar results as depicted in the many samples of my past work. Although all care will be taken with digital photographs at the wedding, sessions(s), and/or event(s), you agree to hold me harmless against any liability as a result of any reasonable distortion, blurring, or alteration, either intentionally or otherwise, that may occur or be produced in the taking, processing, or reproduction of the photographs. You indemnify me, my heirs, legal representatives, assistants, employees, or any persons or corporations acting under permission or authority, against any claims, losses, expenses, or damages whatsoever arising out of or in any way related to this Agreement from any cause or causes, including my negligence. You and I agree that my total liability to you shall not exceed the total amount paid to me under this Agreement.

6. EVENT ACCESS & ACCOMMODATIONS *

You will provide me with full access to shooting locations during the session(s) and/or event(s) I am being contracted to photograph. In addition, you will also provide me and my assistant(s) with food you are serving to your guests. You will also see to it that I/we are fed with the bridal party so I/we am able to document the timeline. Seating arrangements for the meal must be made so that I/we are nearby the event activities to ensure proper coverage.

7. POST-PRODUCTION & FILE STORAGE *

Proofs and/or images will be available to view online within eight weeks of the wedding, session(s), and two weeks for engagement photos. Proofs and/or images will be provided in digital form. These files will be uploaded online through your client gallery. For collections including the digital prints, rights are limited to personal use.

8. CONSIDERATION & PAYMENT *

The total fee for the services rendered under this contract is $_____. ANY PAYMENTS MADE ARE NON-REFUNDABLE, even if the date is changed and/or the wedding, session(s), and/or event(s) become cancelled for any reason. This contract commits me to providing you with all the services rendered and listed above. If an unforeseen emergency should arise and I am unable to render the hired services, a full refund will be offered to the clients. Fees delivered more than three days late will incur a late fee of $50.

9. PAYMENT SCHEDULE *

Payment schedule is as follows: $200 down payment due 3 days after this contract is signed. $____ due _______ and the remaining $__________ due the day of the wedding, __________. If preferable clients are more than welcome to pay more than the listed above amount for each due date as well as pay the full amount.

10. DISPUTES *

This agreement shall be governed by the laws of the State of CA in the County of Los Angeles. In the event that any party commences any mediation, arbitration, legal or equitable action, or other proceeding, the prevailing party shall be entitled to recover reasonable attorney’s fees in addition to other relief to which the party may be entitled. Wherefore, it is stipulated that this agreement is entered into by and between parties hereto.

11. ENTIRE AGREEMENT *

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and shall supersede all understandings and agreements between the parties prior to the date hereof with respect to such subject matter. The captions in this Agreement are for purposes of reference only and shall not limit or otherwise affect any of the terms hereof. This Agreement may be executed simultaneously in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. The invalidity of any provision of this Agreement shall not affect the validity and binding effect of any other provision of this Agreement.
